If Lucerum does take any legal action against you as a result of your violation of these Terms of Use, Lucerum will be entitled to recover from you, and you agree to pay, all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to Lucerum. You agree that Lucerum will not be liable to you or to any third party for termination of your access to the Site as a result of any violation of these Terms of Use.
Limitation of Liability and Indemnity
Lucerum disclaims all warranties, including merchantability and fitness for a particular purpose. To the maximum extent permitted by law, Lucerum shall not be liable for any indirect, punitive, incidental, or consequential damages (including lost profits), even if we have been advised of the possibility of such losses.
Indemnity: You agree to defend and hold Lucerum, its officers, and employees harmless from any claims, losses, or expenses (including legal fees) arising from your misuse of the Site.
Governing Law and Dispute Resolution
You agree that all disputes regarding the Site shall be governed by the laws of the State of Delaware (USA), without regard to conflict of laws principles. Any legal action must be initiated within one (1) year of the cause of action. Both parties agree to attempt a good-faith resolution for 30 days before moving to formal mediation or litigation.
