LucerumOne Terms of Use / End User License Agreement

Last updated: 2026/07/24

These Terms of Use and End User License Agreement ("Terms") govern your download, installation, access to, and use of Lucerum One (the "App") and any related services made available by Lucerum, Inc. ("Lucerum," "we," "us," or "our"), with registered office at Massachusetts, US, Contact us.

These Terms are a legal agreement between you and Lucerum only, and not with Apple, Google, or any other app marketplace operator. Lucerum is solely responsible for the App and its content, except as otherwise required by applicable law.

By downloading, installing, accessing, or using the App, you agree to be bound by these Terms. If you do not agree, do not download, install, access, or use the App.

1. Purpose of the App

The App is intended to allow a client who has already been enrolled by an authorized practitioner or clinic in LucerumCarto to complete a follow-up questionnaire regarding the client's self-reported mood, stress level, emotional state, wellbeing, and similar subjective responses. The client's answers are transmitted to and made visible in LucerumCarto for review by the relevant practitioner or other authorized user.

The App is a follow-up non-medical questionnaire and communication tool. It does not replace emergency care, in-person consultation, or independent clinical judgment, and it is not represented as a real-time monitoring or emergency response service unless expressly stated otherwise in separate product documentation.

The App may also be downloaded and installed by a person who has not yet been activated for questionnaire use. In that case, installation of the App does not by itself mean that any questionnaire has been assigned or made available to that user.

2. Usage context

The App is intended to be used after the client's enrollment by the practitioner or clinic. Any consent to clinical care, treatment, or participation in the relevant clinical process is handled separately between the client and the practitioner or clinic and is not created solely by accepting these Terms inside the App.

Use of the App is part of a follow-up workflow. The App enables the collection of client-reported responses after the client has already interacted with the clinic or practitioner professional.

Unsubscribing from, deleting, or ceasing to use the App does not by itself revoke any consent, authorization, or agreement previously given by the client to the practitioner or clinic in connection with treatment, follow-up, enrollment, or participation in the relevant clinical process. Any request to withdraw or revoke such consent must be made directly to the practitioner or clinic, subject to applicable law.

3. Eligibility and authorized use

You may use the App only if:

  • you are the person invited to use it, or a person legally authorized to act on that person's behalf where permitted by law;

  • you have been enrolled through LucerumCarto by an authorized practitioner or clinic, or you have otherwise lawfully downloaded and installed the App;

  • you received a valid link, invitation, or other access credential where such credential is required; and

  • you comply with these Terms and all applicable laws.

You may use the App only for its intended purpose of accessing and completing the follow-up questionnaire and related client-facing functionality made available to you. If no questionnaire or related functionality has been activated for your account, your use of the App may be limited to installation, account access, or other basic functions made available by Lucerum.

4. Enrollment and account access

Access to the App may depend on enrollment by a practitioner or clinic using LucerumCarto. As part of that workflow, the client may receive an email containing a link or other instructions to install the App and access the questionnaire.

You are responsible for:

• ensuring the email address provided to the clinic or practitioner is accurate and accessible;

• maintaining the confidentiality of any login, one-time code, or access credential used for the App; and

• restricting access to your device where reasonably necessary to protect your information.

You must promptly notify the clinic, practitioner, or Lucerum support if you believe your access credentials or device have been compromised.

5. Questionnaire responses

The App may present a questionnaire consisting of multiple items relating to your current mood, stress, emotional state, wellbeing, or similar self-reported sentiment or symptom measures. You agree to provide responses that are accurate and complete to the best of your knowledge.

You acknowledge that:

  • your answers are self-reported;

  • your practitioner or clinic may use your answers as part of follow-up review or monitoring;

  • incomplete or inaccurate answers may limit the usefulness of the information presented in LucerumCarto; and

  • submission of responses does not guarantee immediate review, response, intervention, or contact from the practitioner or clinic unless they expressly provide such a service separately.

6. Voluntary completion

Unless your practitioner or clinic informs you otherwise under a specific care pathway, completion of a questionnaire through the App is voluntary. If you choose not to complete a questionnaire, unsubscribe from the App, or stop using it, this may limit the information available to your practitioner or clinic for follow-up purposes, but it does not automatically affect any separate consent or care arrangement between you and that practitioner or clinic.

7. No emergency use

The App must not be used to request urgent help or emergency assistance. If you think you may be experiencing a medical emergency, are at immediate risk, or require urgent support, contact local emergency services or an appropriate healthcare professional immediately.

The App does not guarantee continuous monitoring or real-time alerts to your practitioner or clinic.

8. License grant

Subject to your compliance with these Terms, Lucerum grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the App on a device you own or control solely for its intended purpose.

This license does not transfer ownership of the App or any intellectual property rights to you.

9. Restrictions

You may not:

  • copy, reproduce, modify, adapt, translate, distribute, sell, lease, sublicense, or commercially exploit the App;

  • reverse engineer, decompile, disassemble, or otherwise attempt to derive source code;

  • interfere with the security, integrity, or performance of the App;

  • use the App in a fraudulent, unlawful, harmful, or misleading way;

  • upload malware, malicious code, or any material that could impair the App or related systems; or

  • attempt unauthorized access to accounts, systems, or data.

10. Privacy and data handling

The App is a follow-up tool used in connection with the practitioner's or clinic's services. Personal data and questionnaire responses submitted through the App are subject to the privacy policy of the relevant practitioner or clinic, which is the applicable privacy policy for the client's use of the service. Lucerum provides the App and LucerumCarto as the technical platform for the collection, transmission, storage, and display of that information.

By using the App, you acknowledge that the responses you submit may be made available through LucerumCarto to the practitioner or clinic that enrolled you and to other authorized persons acting on behalf of that provider, as permitted by applicable law and the relevant care arrangement.

If you download and install the App without having an activated questionnaire or other active practitioner-led workflow, Lucerum may store only your email address and user name in Lucerum's database for account administration, technical operation, access management, and support purposes, unless and until additional information is submitted through your use of the App.

If you unsubscribe from the App, Lucerum may disable your App access and may delete or retain App-related account data as required for technical, legal, compliance, security, evidentiary, or record-retention purposes. Unsubscribing from the App does not, by itself, revoke any consent previously given to your practitioner or clinic, and any request to revoke such consent must be directed to the practitioner or clinic.

Nothing in these Terms is intended to replace or limit any rights you may have under applicable data protection or client rights legislation.

11. Website-hosted legal documents

Lucerum may make these Terms and the related Privacy Policy available on its website and may provide links to those documents in the App, in App Store Connect, in the App Store listing, and in Google Play materials. Hosting the legal documents on Lucerum's website does not reduce their applicability to your use of the App.

If there is any mandatory store-specific legal text that must also appear directly in an app marketplace field, Lucerum may provide such text there in addition to the website version.

12. Third-party app stores

If you downloaded the App from Apple's App Store or Google Play, you acknowledge that these Terms are concluded between you and Lucerum, not with Apple or Google. Lucerum, not Apple or Google, is responsible for the App, its maintenance and support, and any claims relating to it, except to the extent otherwise required by law.

13. Third-party terms

You must comply with any applicable third-party terms relevant to your use of the App, including your mobile carrier or data service agreement and the terms governing the app marketplace through which you downloaded the App.

14. Maintenance, support, and updates

Lucerum is solely responsible for any maintenance and support of the App, except where applicable law provides otherwise. Lucerum may release updates, patches, fixes, or new versions of the App from time to time. Some features may not function properly unless you install the latest available version.

15. Availability

We do not guarantee that the App will always be available, uninterrupted, secure, or error-free. Access may be suspended or limited for maintenance, updates, technical reasons, legal reasons, or circumstances outside our reasonable control.

16. Device and connectivity

You are responsible for obtaining and maintaining compatible hardware, software, internet access, and telecommunications services required to use the App. Standard data and messaging charges from your provider may apply.

17. Intellectual property

The App, LucerumCarto, and all related software, content, branding, design, text, graphics, interfaces, and materials are owned by Lucerum or its licensors and are protected by applicable intellectual property laws. Except for the limited license expressly granted in these Terms, no rights are granted to you.

If any third-party claims that the App or your possession and use of the App infringes that third party's intellectual property rights, Lucerum will be solely responsible for the investigation, defense, settlement, and discharge of such claim, to the extent required by applicable law.

18. Warranty disclaimer

To the fullest extent permitted by law, the App is provided on an "as is" and "as available" basis. Lucerum disclaims all warranties and conditions, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement, availability, accuracy, and uninterrupted operation, except where such disclaimers are not permitted by law.

19. Limitation of liability

To the fullest extent permitted by applicable law, Lucerum shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, or for any loss of profits, revenue, goodwill, data, business opportunity, or anticipated savings arising out of or related to the App or these Terms. To the extent liability cannot be excluded, Lucerum's aggregate liability arising out of or in connection with the App or these Terms shall not exceed the greater of: (a) the amount paid by you, if any, for the App during the 12 months preceding the event giving rise to the claim, or (b) the minimum amount required by applicable law.

20. Product claims and legal compliance

Lucerum is responsible for addressing any claims by you or any third party relating to the App or your possession and use of it, including product liability claims, claims that the App fails to conform to any applicable legal or regulatory requirement, and claims arising under consumer protection, privacy, or similar legislation.

You represent and warrant that you are not located in a country subject to a U.S. government embargo and are not included on any U.S. government list of prohibited or restricted parties, to the extent such representation is required for distribution through an app marketplace.

21. Suspension and termination

Lucerum may suspend or terminate your access to the App if:

  • your practitioner or clinic withdraws or disables your enrollment;

  • you breach these Terms;

  • continued access would create legal, security, or operational risk; or

  • the App or related services are discontinued.

You may stop using the App at any time. You may also unsubscribe from the App at any time by using the unsubscribe link made available in the App or in a related email communication, where such link is provided.

If you unsubscribe from the App, your access to the App may be disabled or terminated, but any consent, authorization, or agreement previously given to your practitioner or clinic remains in effect unless and until you separately revoke it directly with that practitioner or clinic, subject to applicable law.

Upon termination, the license granted to you ends immediately, but provisions that by their nature should survive termination shall remain in force.

22. Changes to these Terms

Lucerum may update these Terms from time to time. The latest version may be posted on Lucerum's website and may also be referenced from within the App. Your continued use of the App after updated Terms become effective constitutes acceptance of the revised Terms, to the extent permitted by law.

23. Governing law and jurisdiction

These Terms are governed by the laws of Delaware, US, excluding conflict-of-laws rules. Any disputes arising out of or relating to these Terms shall be submitted to the courts of Delaware, US, unless mandatory consumer, client, or data protection law requires otherwise.

24. Contact details
